Terms of Service

1. Acceptance of Terms

By engaging Aqon Media for any services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not engage Aqon Media's services. These terms apply to all projects, contracts, and deliverables produced by Aqon Media.

2. Services

Aqon Media provides short-form video production, content clipping, ad creative development, and related media services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate project brief or statement of work agreed upon by both parties prior to commencement.

3. Client Responsibilities

The Client agrees to:

• Provide all necessary source materials, assets, and access in a timely manner
• Ensure they hold all rights to materials submitted to Aqon Media for use in production
• Provide clear and timely feedback within agreed revision windows
• Designate a single point of contact for project communication
• Not use our deliverables in any manner that violates applicable laws or platform policies

4. Intellectual Property

Upon receipt of full payment, Aqon Media grants the Client a non-exclusive, worldwide, perpetual license to use the final deliverables for the purposes outlined in the project brief. All raw footage, project files, templates, and proprietary tools developed by Aqon Media remain the exclusive property of Aqon Media unless a full IP transfer is explicitly agreed upon in writing at an additional cost.

The Client warrants that all materials provided to Aqon Media are free of third-party intellectual property claims. The Client indemnifies Aqon Media against any claims arising from the use of Client-supplied materials.

5. Payment Terms

Payment terms are outlined in each project agreement. Unless otherwise specified:

• A 50% deposit is required before project commencement
• The remaining balance is due upon delivery of final files
• Invoices unpaid after 14 days are subject to a 1.5% monthly late fee
• Aqon Media reserves the right to withhold final deliverables until payment is received in full

6. Revisions

Each project includes a defined number of revision rounds as specified in the project agreement. Revisions beyond the included rounds are billed at our standard hourly rate. A revision is defined as a change to previously approved creative direction; new direction constitutes a new project phase.

7. Confidentiality

Both parties agree to keep confidential any proprietary business information, strategies, or materials shared during the engagement. This obligation survives the termination of any project or agreement and remains in effect for a period of two (2) years following project completion.

8. Turnaround & Delivery

Estimated timelines are provided in good faith and are contingent on timely receipt of materials and feedback from the Client. Aqon Media is not liable for delays caused by the Client's failure to provide required assets or approvals. Rush delivery requests are accommodated where possible and may incur additional fees.

9. Disclaimer of Warranties

Aqon Media provides all services on an "as is" basis. We make no guarantees regarding specific performance outcomes, reach, views, conversions, or platform algorithm results derived from any content we produce. Creative performance depends on numerous factors outside our control.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Aqon Media's total liability for any claim arising from our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. We are not liable for any indirect, incidental, consequential, or punitive damages.

11. Termination

Either party may terminate a project engagement with written notice. If the Client terminates a project, all fees for work completed to that point are due immediately. The deposit is non-refundable. If Aqon Media terminates a project, we will refund any fees paid for work not yet completed.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes shall first be attempted to be resolved through good-faith negotiation, followed by mediation if necessary, before pursuing formal legal action.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued engagement with our services following any changes constitutes acceptance of the new terms.
